Seller Agreement

Terms governing wholesale and B2B reseller relationships. Last updated: 1 March 2026.

This agreement applies to all approved wholesale buyers ("Seller" or "Reseller") who purchase Nour Naturels products for resale. By placing a wholesale order or activating a B2B account, you agree to be bound by this agreement.
1. Eligibility
To qualify as a reseller you must: hold a valid business registration in your country of operation; provide a valid tax identification number or VAT number on request; operate a legitimate retail or e-commerce business selling beauty, wellness, or lifestyle products; agree to maintain minimum standards of brand presentation as outlined in Section 5.
2. Approved sales channels
Resellers may sell Nour Naturels products through: physical retail stores; your own e-commerce website (subject to brand guidelines); authorised marketplaces explicitly approved in writing by Nour Naturels. Sales through unauthorised third-party marketplaces (including Amazon, eBay, or any marketplace not pre-approved) are prohibited unless explicit written permission is granted.
3. Pricing and MAP policy
Resellers must maintain the Minimum Advertised Price (MAP). MAP is set at 85% of the current recommended retail price (RRP) for all SKUs. Selling below MAP β€” including through hidden discounts, bundle pricing that obscures individual unit prices, or cashback schemes β€” is a violation of this agreement. First violation: written warning. Second violation: account suspension. Third violation: permanent termination.
4. Order and payment terms
All orders must be placed through the B2B portal. Payment terms are as specified in the Commission & Fee Policy based on your tier. Orders may not be cancelled once dispatched. Partial order cancellations before dispatch incur a 5% restocking fee. You are responsible for all import duties, taxes, and customs costs on goods shipped to your location.
5. Brand guidelines
You must: use only approved product images and descriptions provided by Nour Naturels; accurately describe all products, including ingredients and usage instructions; not alter, remove, or obscure any product labelling or packaging; not make any medical or health claims about products beyond those approved in writing. Nour Naturels product photography is provided at no charge for use in your own marketing materials.
6. Product authenticity
You may only sell genuine Nour Naturels products purchased directly through this B2B platform. Reselling products obtained from other sources, relabelling, reformulating, repackaging, or creating imitation products using our brand name or trade dress is strictly prohibited and will result in immediate termination and potential legal action.
7. Returns and defective goods
Wholesale returns require prior written authorisation (RMA). Returns are accepted within 14 days of delivery for damaged or incorrectly supplied goods only. Wholesale orders are not eligible for the standard consumer 30-day return window. Confirmed defective products will be replaced or credited at full invoice value. Return shipping costs for confirmed defects are covered by Nour Naturels.
8. Intellectual property licence
Nour Naturels grants you a limited, non-exclusive, non-transferable licence to use the Nour Naturels trademark, product photography, and approved marketing materials solely for the purpose of selling Nour Naturels products on approved channels during the term of this agreement. This licence terminates automatically upon termination of the agreement.
9. Confidentiality
Wholesale pricing, tier structures, formulation details, and supplier information disclosed to you as a reseller are confidential. You may not disclose this information to third parties. This obligation survives termination of the agreement for 3 years.
10. Term and termination
This agreement begins when your B2B account is approved and continues until terminated. Either party may terminate with 30 days' written notice. Nour Naturels may terminate immediately for material breach (MAP violations, unauthorised resale, intellectual property infringement, non-payment). Upon termination, any outstanding payments become immediately due.
11. Governing law
This agreement is governed by Polish law. Disputes shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Warsaw, Poland.
